Manufacture, Purchase and Hire Agreements

If you have invented a product that you want to have manufactured, our Licence for Manufacture and Sale A126 may be suitable. If you are already in business producing goods and wish to expand into a new market by licensing another company to manufacture your goods, then our Licence for Manufacture Overseas A134, is preferable. If you are asked to manufacture a product for someone who provides you with some of the raw materials, our Supply and Manufacture Agreement A150 is the document to use. As for a business that wants to receive regular supplies of goods or equipment, our Long Term Supply Agreement A138, is the contract for you. And if you are hiring – or want to hire equipment, have a look at the Hire Agreement A145.

A106 Contract for Hire of Premises £37.00 + VAT

This template agreement for hiring premises is suitable for an event, a wedding, a seminar, reception or some other function.  It comprises a letter setting out specific terms plus standard terms & conditions which are incorporated into the hire contract.
The letter is designed for all the variable details of the event to be inserted - date of event, numbers of people, charges etc.  The standard terms and conditions cover such matters as booking information, facilities to be provided, catering, cancellation, rules of conduct and hirer's liability.

A126 Licence for Manufacture & Sale £50.00 + VAT

Suitable where the inventor of a product licenses a company to manufacture and sell that product in return for a licence fee and royalties on sales.

The 15 clauses deal with the grant of a licence for manufacture and sale with a fairly long contract period envisaged. There are provisions dealing with the payment by the licensee of a licence fee as well as royalties with terms dealing with the calculation of royalties, payment, maintenance of records etc. The contract also deals with the provision of support by the licensor in the development phase and improvements which either party may make to the product. Other clauses detail territorial scope, confidentiality, patent infringement and termination.

A134 Licence for Manufacture Overseas £50.00 + VAT

Granted by a producer of retail goods to a licensee to manufacture the goods for retail sale in a foreign country. For a licence agreement more appropriate to an inventor of a product licensing a company to manufacture and sell that product locally or overseas – see our document A126.

This Licence is suitable where the company granting the licence (the licensor), provides know-how and technical support to the licensee who undertakes product manufacture and sales. The document covers such matters as grant of the licence, duration, and the obligations of the licensor which include provision of technical support and, in some circumstances, supply of components for manufacture, advertising literature etc. The licensee's obligations are also dealt with. There are clauses allowing the use of the licensor's trade name for the product plus the method of calculating royalties and accounting for these. Export of goods beyond the territory of the agreement is dealt with and there are clauses covering confidentiality, termination, force majeure etc.

A138 Long Term Supply Agreement £43.00 + VAT

For use where a supplier agrees to sell products or materials to a purchaser at pre-determined prices with minimum/maximum annual quantities, all sales being made against purchase orders.

This is a fairly balanced agreement between supplier and purchaser with 11 clauses over 7 pages with a number of schedules. The clauses cover duration, quality of products, quantities and ordering procedures, delivery, risk and ownership, price and payment, termination and force majeure.

This agreement for the hire of equipment is suitable for use where one party, the owner, rents equipment to another party, the hirer.  The agreement is reasonably straightforward with ten clauses covering the obligations of both the owner and hirer, delivery, payment terms, termination etc.

A151 Supply Manufacture & Sale Agreement £50.00 + VAT

For use where a manufacturer agrees to manufacture goods for exclusive sale to a buyer who supplies some or all of the raw materials. The buyer then acts as exclusive distributor for the sale of all products. The agreement contains clauses dealing with the procedures for ordering products, supplying materials and completed products, general obligations of buyer and manufacturer, pricing and payment and confidentiality etc.

This type of agreement is a useful template e.g. where a manufacturer agrees with the buyer to manufacture goods using recycled materials supplied by the buyer.
