This Agency Agreement is offered as a dual-language document in English and Chinese.

It is suitable for a principal who manufactures goods and wishes to appoint an agent on an exclusive basis in a defined territory for the sale of those goods.

A fairly detailed agreement with 10 main clauses covering the agent's appointment, duration, minimum sales targets, principal's right to make direct sales in certain circumstances, general obligations of agent and principal, procedures for ordering products, intellectual property, termination, non-competition etc.

This document comes in two versions - English and Chinese.

It is between two individuals who set up a limited company to run a new business in which each of them has 50% of the shares.

The agreement contains 18 clauses covering such matters as nature of the company's business, initial share capital, profits policy, details of initial directors, arrangements for meetings and day to day conduct, bank accounts, auditors etc.

There are also provisions dealing with matters that require the consent of both parties, default and deadlock provisions if the two shareholders fall out. A useful basic document.

This employment contract is in the form of a letter from the employer to the employee, setting out the terms of the employment and expatriate benefits for an executive.  Suitable as a basis both for a new recruit and an existing employee who is to be posted overseas. There are two versions – English and Chinese.

C119 Chinese Confidentiality Undertaking £59.00 + VAT

This document is in two versions - English and Chinese. This Confidentiality Undertaking (or Non-Disclosure Agreement - NDA) is in the form of a short letter from a company interested in developing a product that the addressee of the letter has brought to it.

There are six numbered paragraphs. The company makes a promise that it will keep all discussions regarding the new product confidential during a specified period, at the end of which they will either enter into a development agreement or bring the discussions to an end and return all confidential data that has been provided.

C126 Chinese Licence for Manufacture & Sale £69.00 + VAT

This document is in two versions - English and Chinese.

This manufacturing agreement  is suitable where the owner or inventor of a product licenses a company to manufacture and sell that product in return for a licence fee and royalties on sales.

The 15 clauses deal with the grant of a licence for manufacture and sale with a fairly long contract period envisaged.  There are provisions dealing with the payment by the licensee of a license fee as well as royalties with terms dealing with the calculation of royalties, payment, maintenance of records etc.  The lcontract also deals with the provision of support by the licensor in the development phase and improvements which either party may make to the product.  Other clauses detail territorial scope, confidentiality, patent infringement and termination.

For use by a company when placing orders for goods and equipment.While reasonably balanced, these conditions are designed from the purchaser's perspective and are intended for general use by a company when placing orders for goods and equipment.

We anticipate that the terms and conditions, once finalised, would become a standard printed document for use by a purchasing department.

C131 Chinese Agreement of Sale & Purchase of Shares in a Limited Company £59.00 + VAT

This document is in two versions - English and Chinese. It is suitable for use where both Seller and Buyer are the only Shareholders in a Company and the effect of the sale will be to transfer control of the Company to Buyer. It is much shorter than many such agreements because of the relationship of the parties, both of them being shareholders and represented on the board of the company. There are very few warranties in this form. The contract details the number and shares to be sold, price, actions on completion - payment and resignation of directors and the cancellation of a shareholders' agreement ,if this exists.

Between a manufacturing company and a "consultant" where the manufacturer pays the consultant a commission on business introduced by the consultant.

A general purpose agreement for use by an individual or company who, in return for a commission, introduces business to a manufacturer.

The consultant's duties are little more than nominal, the main purpose of the agreement being to fix the amount and payment terms for commission.

The contract has a fixed but renewable duration and is subject to confidentiality with an arbitration clause in the event of disputes.

C134 Chinese Retail Licence Template £59.00 + VAT

This document is in two versions - English and Chinese.

The licence is granted by a producer of retail goods to a licensee to manufacture the goods for retail sale in a foreign country.
The company granting the licence, the licensor, provides know-how and technical support to the licensee who undertakes the manufacture and sales.

The 7 pages plus schedule covers such matters as grant of the licence, duration and the obligations of the licensor which include provision of technical support and, in some circumstances, supply of components for manufacture, advertising literature etc. The licensee's obligations are then dealt with.

There are clauses allowing the use of the licensor's trade name for the product plus the method of calculating royalties and accounting for these. Export of goods beyond the territory of the agreement is dealt with and there are clauses covering confidentiality, termination, force majeure etc.

C138 Chinese Long Term Supply Agreement £69.00 + VAT

This document is in two versions - English and Chinese. The supply agreement is for use where a supplier agrees to sell products or materials to a purchaser at pre-determined prices with minimum/maximum annual quantities, all sales being made against purchase orders.

This is a fairly balanced agreement between supplier and purchaser with 11 clauses over 7 pages with a number of schedules.  The clauses cover duration, quality of products, quantities and ordering procedures, delivery, risk and ownership, price and payment, termination and force majeure.

This agreement can be used for manufactured products or for raw materials.
